For the year ended 31 March 2026, the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies and under section 479A relating to subsidiary companies. The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476 of the Companies Act 2006. The directors confirm that:

 

•

the Directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of the financial statements;

•

these financial statements have been prepared in accordance with the special provisions for small companies under Part 15 of the Companies Act 2006;

•

the company is exempt from the requirements of the Companies Act 2006 relating to the audit of individual accounts by virtue of section 479A;

•

the parent undertaking, iomart Group plc (registered number SC204560), has given a guarantee under section 479C of the Companies Act 2006 in respect of all outstanding liabilities of the company as at 31 March 2026; and

•

the company is included in the consolidated financial statements of iomart Group plc for the financial year ended 31 March 2026.

NOTES TO THE FINANCIAL STATEMENTS

1.     COMPANY INFORMATION

 

Iomart Cloud Services Limited is a private limited company, limited by shares, incorporated and domiciled in the United Kingdom and registered in Scotland under the Companies Act 2006.

 

Basis of preparation

 

These financial statements have been prepared in accordance with Section 1A Small Entities of FRS 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', and the requirements of the Companies Act 2006 applicable to companies subject to the small companies' regime. There were no material departures from that standard.

 

The financial statements have been prepared on a basis other than going concern and are presented in Sterling (£) which is the company's functional and presentational currency.

 

2.     ACCOUNTING POLICIES

 

Future developments in financial reporting

 

Amendments to FRS 102 arising from the Periodic Review 2024 are effective for accounting periods beginning on or after 1 January 2026. The company will adopt these amendments in its financial statements for the year ending 31 March 2027.

 

Going concern

 

On 31 March 2021, the company ceased trading. The Company has been dormant within the meaning of section 1169 of the Companies Act 2006 throughout the current financial year and the prior financial year. Accordingly, the directors have prepared the financial statements on a basis other than going concern. The directors intend that the Company will remain dormant and no material adjustments were required to the carrying value of assets and liabilities as a result of preparing the financial statements on this basis. Assets and liabilities are stated at their recoverable and settlement amounts respectively, which equate to their carrying values.

 

Capital and reserves

 

Shares are classified as equity instruments when there is no obligation to transfer assets. Equity instruments are any contract that evidences a residual interest in assets of the company, after deducting liabilities. The nominal value of shares issued is recorded in share capital.

 

Basic Financial Instruments

 

Basic financial assets, including debtors and amounts owed by group undertakings, are initially recognised at transaction price and subsequently measured at amortised cost.

 

Employees

 

The average monthly number of employees during the year was nil (2025: nil).

The ultimate parent company and controlling party is Iomart Group plc, a company registered in Scotland, which heads the smallest and largest group in which the results of Iomart Cloud Services Limited are consolidated.
